Perk Partner Program Agreement

CHROME ALERT CAR FINDERS PERKS PARTNER PROGRAM AGREEMENT
This Perks Partner Program Agreement (“Agreement”) is entered into as of the Effective Date, by and between Chrome Alert Car Finders (“Chrome Alert Car Finders”) and the undersigned business entity (“Perks Partner”).
By participating in the Chrome Alert Car Finders Perks Partner Program, the Perks Partner agrees to the following terms and conditions:

1. PURPOSE
The purpose of this Agreement is to establish a mutually beneficial partnership in which the Perks Partner provides exclusive discounts to Chrome Alert Car Finders members in exchange for promotional opportunities offered by Chrome Alert Car Finders.

2. PERKS PARTNER OBLIGATIONS

2.1 Minimum Discount Requirement
The Perks Partner agrees to offer Chrome Alert Car Finders members a minimum discount of ten percent (10%) on goods and/or services provided by the business.
• The discount must be clearly defined, consistently applied, and honored for all eligible Chrome Alert Car Finders members.
• Any limitations, exclusions, or conditions must be disclosed in writing and approved by Chrome Alert Car Finders.

2.2 Duration of Participation
The Perks Partner agrees to remain an active participant in the Chrome Alert Car Finders Perks Partner Program for a minimum term of one (1) year from the Effective Date of this Agreement.
• Early termination by the Perks Partner prior to the one-year term may be considered a breach of this Agreement unless otherwise agreed upon in writing by Chrome Alert Car Finders.

2.3 Fulfillment of Offers
The Perks Partner is solely responsible for:
• Honoring all advertised discounts and promotions
• Delivering goods and services in a professional and lawful manner
• Handling all customer service, disputes, and fulfillment issues

3. CHROME ALERT CAR FINDERS OBLIGATIONS

3.1 Promotional Benefits
Chrome Alert Car Finders agrees to provide the Perks Partner with complimentary digital advertising and promotional exposure, which may include but is not limited to:
• Website listings and partner directories
• Banner advertisements
• Sponsored content or featured placements
• Social media promotion
• Email marketing inclusion

3.2 Discretion and Availability
All promotional benefits are provided:
• At the sole discretion of Chrome Alert Car Finders
• Based on availability of advertising space and scheduling
Chrome Alert Car Finders does not guarantee specific placement, impressions, traffic, or performance outcomes.

4. DIGITAL ASSETS

4.1 Asset Responsibility
The Perks Partner agrees to provide all necessary digital assets required for promotion, including but not limited to:
• Logos
• Images
• Ad creatives
• Promotional copy
• Branding materials

4.2 Asset Standards
All submitted materials must:
• Be of professional quality
• Comply with applicable laws and regulations
• Not infringe on any third-party rights
Chrome Alert Car Finders reserves the right to reject or request modifications to any submitted assets.

5. INTELLECTUAL PROPERTY
The Perks Partner grants Chrome Alert Car Finders a non-exclusive, royalty-free license to use its name, logo, and provided materials solely for the purpose of promoting the Perks Partner within the program.

6. TERMINATION

6.1 Termination for Cause
Chrome Alert Car Finders reserves the right to terminate this Agreement at any time if the Perks Partner:
• Fails to honor the agreed discount
• Provides misleading or false information
• Engages in conduct that may harm the reputation of Chrome Alert Car Finders
• Violates any terms of this Agreement

6.2 Effect of Termination
Upon termination:
• All promotional activities by Chrome Alert Car Finders will cease
• The Perks Partner must immediately discontinue use of any Chrome Alert Car Finders branding or affiliation

7. LIMITATION OF LIABILITY
Chrome Alert Car Finders shall not be held liable for:
• Any loss of revenue, profits, or business opportunities
• Customer disputes or dissatisfaction
• Any indirect, incidental, or consequential damages
Participation in the program is at the Perks Partner’s own risk.

8. INDEPENDENT RELATIONSHIP
This Agreement does not create any partnership, joint venture, or employment relationship. Both parties operate as independent entities.

9. AMENDMENTS
Chrome Alert Car Finders reserves the right to update or modify this Agreement at any time. Continued participation in the program constitutes acceptance of any revised terms.

10. GOVERNING LAW
This Agreement shall be governed by and interpreted in accordance with the laws of the applicable jurisdiction in which Chrome Alert Car Finders operates.

11. ENTIRE AGREEMENT
This document constitutes the entire agreement between the parties and supersedes all prior discussions, agreements, or understandings.

12. ACCEPTANCE
By signing below, the Perks Partner acknowledges that they have read, understood, and agree to be bound by the terms of this Agreement.
